  1. Announcement: Taipei Economic and Cultural Office in Los Angeles (hereunder referred to as “TECO in LA”) is seeking to purchase a commercial property located in the Wilshire Corridor of the City of Los Angeles to serve as the new office for TECO in LA. TECO in LA represents the interests of the Government of the Republic of China (Taiwan), covering Southern California, Arizona and New Mexico.

  3. Governing Code: This procurement is governed by Article 22, Paragraph 1, Item 11 of the Government Procurement Act of the Republic of China (Taiwan) with respect to “designation of an area for real property procurement in response to the need of business operation”, “Regulations for Evaluation of the Most Advantageous Tender” and the “Standards for Time-limits for Tendering” as promulgated by the R.O.C. Government.

  7. Information for purchasing an office building:
    (1)Location: Commercial building, located in the Wilshire Corridor area of the City of Los Angeles, California close to many foreign missions in Los Angeles, will be preferred by TECO in LA. TECO in LA reserves the right to decline any bid or all tenders received based upon the criteria and priorities of TECO in LA.
    (2)Building Size: 35,000~45,000 Sq. Ft approximately. Buildings facing or close to major roads are preferred.
    (3)Building Usage: TECO in LA (sole user in principle)
    (4)Parking lot: 65 parking spaces or more.
    (5)The land, and the building(s) thereon, if any, shall be located in a zoning area permitted for use as office space for foreign missions or international organizations. If it becomes necessary to apply for change in land-use zoning or subdivision of land, the Procuring Entity may, depending on the circumstances of the case, adopt one of the following.
    (a)A sale and purchase contract may be signed, subject to the approval of the applicable government authority with respect to the land subdivision, transfer or change in the zoning permit. Thereafter, appropriate legal title transfer shall be recorded with the County of Los Angeles. Such a contract, however, shall expressly provide that if the applicable government authority does not agree to subdivision, transfer or change in zoning permit, the contract will be terminated accordingly.
    (b)Approval of the applicable government authority with respect to subdivision, transfer or change of zoning permit shall be obtained before the parties enter into the Sale and Purchase Contract for the Subject Real Estate. If the length of time taken by the applicable government authority for approval of subdivision, transfer, or change of zoning permit exceeds the relevant fiscal period designated for the procurement budget, the contract shall be terminated.
    (6)If the bid participant has more than two properties meeting the criteria set forth above, each property may be submitted as a separate bid with supporting application materials, and each bid must be sealed off in a separate envelope, respectively.
  8. Qualifications of Respondent:
    (1)Property owner or real estate firm/broker representing owner responding (hereafter “Respondent”) to this Request who holds a valid real estate broker license in the State of California. A real estate firm or broker must provide a letter from the owner authorizing its or his agency to participate in the bid.
    (2)No member of the Real Estate Evaluation Committee of TECO in L A can participate as a Respondent, act as an advisor to a Respondent or provide any assistance to a Respondent with respect to bid submission.
    (3)Respondent shall take note of the relevant “conflict of interest” rules and restrictions set forth in the “Public Officers Conflict of Interest Avoidance Act,” which might prevent Respondent from participating in bid or contract. Respondent shall review and strictly follow such rules so its interest may be protected.
  9. Contract Performance Period: The Tendering Entity winning the award shall transfer the title of Subject Real Estate within three to four (3-4) months after the Sale and Purchase Contract for the Subject Real Estate has been signed. In the case where it becomes necessary to apply for land subdivision or a change of the land-use zoning permit, depending on the appropriate circumstances, the three to four (3-4) month period may start after the applicable government authorities have approved the subdivision, transfer or change of the zoning permit; however, the contract shall specify that the contract shall be terminated upon rejection or disapproval by the applicable government authorities.
  10. Documents/Information required for submission by Respondent:
    (1)Contents of Detailed Property Report: Property Ownership, Property Location with a short Legal Description, Property Characteristics, Site Information, Zoning, Last Owner Transfer, Last and Prior Market Sales, Mortgage Records, Property Tax and Assessment and Neighborhood Area information.
    (2)Asking price and sales comparable
    (3)Site map and title survey plans, if available
    (4)1/8 inch scale drawings of the exterior and interior space
    (5)ANSI/BOMA defined Office Area Square Footage
    (6)Prior Phase 1 or 2 environmental report, if available
    (7)Copy of current lease agreement(s) and rent roll (if there are still tenants)
    (8)Others: information related to the items of criteria for surveying a commercial building, such as traffic situation near the commercial building, public safety around neighborhood of the commercial building, any facility that may adversely affect the quality for the use of the commercial building, supply of water and electricity, telecommunication facilities, drainage, sewage and waste disposal facilities of the land, etc.
  11. Submission Location: Respondent shall provide 12 copies of the proposal, containing information specified in Section 10, in a sealed envelope via mail or courier to “3731 Wilshire Blvd., Suite 700, Los Angeles, CA 90010” before the deadline. Please write: ATTN: Mr. David Lin (for Office Purchase Project) on the envelope.
  12. Due Date: TECO in LA will accept proposals until June 22, 2017, 17:00 (PDT)
  13. Date of Bid Opening: June 23, 2017, at 10:00 (PDT)
  14. Location of Bid Opening and Evaluations: TECO in LA, Address: 3731 Wilshire Blvd., Suite 700, Los Angeles, CA 90010
  15. The Procuring Entity may request the Tendering Entity to cooperate in any field investigation of the Subject Real Estate, permitting the Procuring Entity to make a survey record and take pictures for its file and reference. Based upon review of the documents submitted by the Tendering Entity, the Procuring Entity may call on the Tendering Entity for explanation whenever the Procuring Entity deems necessary.
  16. Evaluation Date of Potential Subject Real Estate(s): TBA
  17. If there is any question or dispute involving the Subject Real Estate, such as obligations under a lease, title, property rights (such as pre-emptive rights), eviction issues/trespassing by others, mortgages, priorities, or any other outstanding issues or claims, the Tendering Entity shall be responsible for resolving any such issues before the deadline required by the Procuring Entity, and the Tendering Entity should bear any and all such costs.
  18. Contract Awarding Method: The Contract will be awarded according to the “Regulation for Evaluation of the Most Advantageous Tender.” The price negotiation and award methods applicable to Respondent that are reviewed and identified as suitable for acquisition shall be as follows:
    1. Based upon the attached Criteria for Surveying, the Evaluation Committee of TECO in L A (hereafter as the Evaluation Committee) will explore, discuss and grade on the Subject Real Estates. If any item of the criteria on the Subject Real Estates is graded zero (0) or its total average scores do not reach a minimum of eighty (80) points, it will be deemed the submission does not meet the needs of TECO in LA. The submission(s), whose total average score reaches 80 points, will be deemed as suitable for TECO in LA. If there are two or more submissions, they will be put in order of total average scores. The Evaluation Committee will then present a short list of Subject Real Estates to the Ministry of Foreign Affairs, Republic of China (Taiwan) for decision on the priority of negotiation with the Tendering Parties.
    2. Upon negotiation, Representative(s) of Respondent shall bring all relevant identifications for verification.
  19. Date of Award: TBA
  20. Entity to Accept and/or Handle Request for Clarifications and/or Complaints: Procuring Entity.
  21. Deadline for Clarifications and/or Complaints: The time period for a Tendering Entity to file a request for clarification to the Procuring Entity, seeking explanation and/or clarification of the content of the Tender Solicitation Documents is one quarter of the tendering period starting from the date of publication or invitation to tender, with any segment of less than one day to be counted as one full day. For any Tendering Entity seeking clarification with regard to this Invitation to Tender or relevant Documents, the deadline to file such a request is June 2, 2017.
  22. Deadline for the Procuring Entity to Respond: One day before the deadline of the proposal submitted by the Tendering Entity.

Please note that Buyer/Procuring Entity will be represented by a broker in connection with Buyer’s purchase of the Subject Real Estate. Seller or Respondent who is awarded the contract herein shall be solely responsible for payment of the fees, compensation and/or commission to both Seller’s broker and Buyer’s broker.
